Terms and Conditions for Framespark

1. Introduction

These Terms and Conditions ("Terms") govern your use of Framespark ("the App"), a Canva app that converts images to frames. The App is owned by Lion Print Lab LLC, a New Jersey limited liability company.  By using Framespark, the customer (“you”) agree to these Terms in their entirety.

2. Service Description

Framespark is a Canva app that converts user-provided or canva images that do not have a background into frames that can be used within the Canva platform.

2.1 Service Limitations

• Not all images are compatible with the Framespark frame conversion system
• Complex, highly detailed, or very large images may not process successfully
• Background-free images provide optimal results
• Processing time may vary based on image complexity

3. Usage Terms

3.1 Free Trial

• Users are entitled to three (3) free frame creations
• The free trial is limited to one per user account
• Free trial usage cannot be transferred between accounts

3.2 Paid Access

• Access beyond the free trial set forth in Section 3.1 requires a payment to include the selection of billing set forth below.
• Payment enables customers to have unlimited frame creation attempts.

4. User Rights and Restrictions

4.1 Permitted Uses

• Create frames from images you own or have rights to use
• Use the App within Canva's platform
• Share created frames according to Canva's sharing policies

4.2 Prohibited Uses

• Sharing accounts, access or free trial usage
• Attempting to bypass payment requirements
• Using the App for unauthorized or illegal purposes
• Reverse engineering or attempting to extract the app's code
• Creating frames from copyrighted images without permission

5. Payment Terms

5.1 Access Payments

• All payments are processed securely through Stripe
• Prices are displayed in applicable currency before purchase

5.2 Refund Policy

• No refunds shall be provided by Lion Print Lab LLC for successful frame creation
• Refunds may be considered by Lion Print Lab LLC for technical failures on a case by case basis only but are not necessarily guaranteed to be provided.
• No refunds shall be provided by Lion Print Lab LLC for any terminated accounts.

6. Technical Requirements

6.1 Image Requirements

• Supported file formats: PNG, JPG, GIF (static only)
• Maximum file size: 30MB
• Recommended image resolution: 4000 x 4000 pixels
• Images should ideally have no background

6.2 Platform Requirements

• Must be used by customer within Canva's platform
• Requires stable internet connection
• Compatible with current Canva app specifications

7. Intellectual Property

7.1 Ownership

• Customers retain rights to their original images
• Lion Print Lab LLC retains rights to the frame conversion technology
• Created frames are subject to Canva's terms of use

7.2 License

Lion Print Lab LLC grants users a limited, non-exclusive license to:

• Use the App within Canva
• Create frames for personal or commercial use
• Share created frames according to their Canva subscription terms
• All of the foregoing shall also be in accordance with Canva’s terms of use

8. Liability and Warranties

8.1 Disclaimer of Warranties

The App is provided "As Is Where Is" without warranties of any kind, either express or implied, including but not limited to:

• Success of frame creation
• Suitability for specific purposes
• Uninterrupted service
• Merchantability
• Fitness for a Particular Purpose

8.2 Limitation of Liability

We are not liable for:

• Unsuccessful frame conversions
• Image compatibility issues
• Service interruptions or failures
• Any customer Prohibited Uses as set forth in Section 4.2 above.
• Force majeure events, including, without limitation, power failure, internet failure, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, pandemic, epidemic, governmental action or any event that is beyond the control of Lion Print Lab LLC
• Data loss or corruption
• Consequential, special, punitive, exemplary or incidental damages

8.3 Indemnification

You must indemnify, defend and hold Lion Print Lab LLC and its members and employees harmless resulting from any injury, harm or damage to Lion Print Lab LLC resulting from any of your Prohibited Uses of the App as set forth in Section 4.2 above.

9. Termination

We reserve the right to:

• Terminate or suspend access for Terms violations
• Modify or discontinue the service
• Cancel access for abuse or fraud

10. Changes to Terms

We may update these Terms periodically and will endeavor to provide notice of those changes. Continued use of the App after changes constitutes acceptance of new Terms.

11. Governing Law/Jurisdiction

These terms and conditions are governed by the laws of the State of New Jersey, without regard to the conflict of law principles thereof.  In the event of a dispute between Lion Print Lab LLC and you, the Superior Court of the State of New Jersey venued in Somerset County and the United States District Court for the District of New Jersey venued in Newark shall have co-exclusive jurisdiction to resolve such a dispute.  The parties hereto consent to the co-exclusive jurisdiction of such Courts and each party hereby waives its right to a trial by jury.
